Bob is a director of the firm and the head of the commercial law department in our Cape Town office and has extensive experience in assisting both domestic and international clients in a wide variety of industries and areas of commercial law. This includes work on franchising, take-overs and mergers, black economic empowerment deals, outsourcing, compliance, the structuring and restructuring of businesses and the required regulatory issues arising from such transactions. He has structured transactions, drafted contracts and provided strategic advice to meet the needs of clients in, amongst others, the property, petroleum, energy, financial services, beverage, banking, fishing, hotel, mining, telecoms and agriculture industries as well as in the general commercial arena. He has a Masters Degree in Tax Law from the University of Stellenbosch
Gaby is a director of the firm and has experience in all aspects of franchising and intellectual property law, including copyright advice, trade mark searches, oppositions and registrations as well as the enforcement of intellectual property, including trade mark infringement, passing off, copyright infringement, domain name disputes and Advertising Regulatory Board (ARB) complaints. Furthermore, she advises clients on various commercial transactions and has experience in information technology law and consumer law. Accordingly, she is able to advise clients in respect of their internal policies and various agreements with third parties to ensure compliance with current legislation. She works closely with numerous clients, both local and foreign, providing advice and recommendations in respect of their business online and identifying challenges and ensuring compliance. She is able to draft various types of commercial agreements including franchise agreements, licensing, service agreements, assignments, data protection policies and agreements, website usage terms and conditions and privacy agreements for different sectors. She has a Masters Degree in Intellectual Property Law from the University of Cape Town and is a Fellow Member of SAIIPL (South African Institute of Intellectual Property Law)
Garth is an associate in our commercial law department. His experience includes drafting various commercial agreements including franchise agreements, shareholder agreements, share sale agreements, pledge agreements, commercial leases and documentation for mergers and acquisitions and MOIs. He has also presented lectures on Intellectual Property law and Information, Communications and Technology law. He is a Student Member of SAIIPL (South African Institute of Intellectual Property Law). He has a Masters Degree in Commercial and Trademark law from the University of the Western Cape and a certificate in Commercial and Contract law from the University of Cape Town.
Nicola has experience in many areas of corporate commercial law, property law and the legalisation of documents and franchising law. As a qualified conveyancer, Nicola brings a unique set of skills to the corporate commercial field, particularly when it comes to commercial leases and other commercial transactions involving immovable property such as the transfer of immovable property and bonding immovable property in order to provide security.
Nicola is also a qualified notary public, which is of use when notarial bonds over movable property are registered in order to provide security. Furthermore, as a notary public she assists in cross-border transactions when documents need to be notarised and duly authenticated for use outside the Republic of South Africa. On the commercial front, Nicola has experience in the drafting and reviewing of various commercial agreements, including but not limited to lease agreements, service level agreements, founding documents and shareholders agreements of private companies as well as trust formations and the founding documents of trusts, loan agreements, suretyships, terms and conditions (both for use on websites and not), management agreements, share sale agreements, sale of members interest agreements and all documents in respect of various intergroup restructures. In addition to drafting and reviewing commercial agreements, Nicola has experience in commercial and tax advisory and all aspects of company secretarial work.
