Making a difference as a FASA Board member

Serving on the Board should be seen as a privilege and be taken seriously as Board members provide strategic direction, make decisions and oversee FASA’s financial health and well-being. This is a voluntary position that requires time and commitment. By joining the Board of FASA as a Director, the member becomes part of a group of individuals that represent member companies and jointly oversee the activities of FASA. FASA looks for members who are enthusiastic about FASA’s goals and can commit to attending regular meetings, attend FASA events, sharing expertise, and helping FASA achieve its vision.

Being a member of the FASA Board is a serious responsibility, and as directors they must adhere to a standards of conduct set out in the Companies Act, including acting in good faith and for a proper purpose, in the best interest of the company, and with a degree of care, skill, and diligence that may be reasonably expected of a person in that position. In addition, as a director, they may be held accountable for any loss, damages, or costs sustained by the Company as a consequence of any breach of your duty. What are the responsibilities of Board members and what is expected of Board members:

  • Attend Board member meetings regularly
  • Attend FASA’s virtual networking events regularly.
  • Be active on social media and support FASA platforms.
  • Review and comment on minutes.
  • Report to stakeholders on the organisation’s performance.
  • Participate in stakeholders’ Events and programmes in furtherance of FASA’s objectives.
  • Required to always keep all Board discussions confidential, unless otherwise advised.

Who serves on the Board?

The Board consists of –

  • 5 ex officio directors (the CEO, Chair, Immediate Past Chair, Chair Elect and Honorary Legal Adviser) and
  • Up to 6 directors elected by members.

Criteria to sit on the Board:

  • Must be a FASA member.
  • Membership fees must be up to date.
  • Must be a member for 2 years or longer.
